Unauthorized Online Sales Policy

BZRK® Unauthorized Online Sales Policy

Buyer agrees not to directly or indirectly list, advertise, sell, or distribute BZRK® products on any third-party online marketplace—including but not limited to Amazon.com, eBay, Walmart Marketplace, and Etsy—without the express prior written consent of BZRK LLC.

Violations of This Policy

In the event of any violation of this policy:

1. Immediate Termination
   BZRK LLC reserves the right to immediately terminate any agreement or business relationship with the Buyer.

2. Forfeiture of Outstanding Payments
   Buyer shall forfeit any outstanding payments owed by BZRK LLC for prior sales.

3. Liquidated Damages
   Buyer shall be liable for liquidated damages in the amount of $10,000.00 per violation or 100% of the gross revenue from unauthorized sales—whichever is greater.

4. Indemnification
   Buyer agrees to indemnify, defend, and hold harmless BZRK LLC from any and all claims, liabilities, damages, or losses arising out of or related to unauthorized online sales.

5. Loss of Future Sales Rights
   Buyer will forfeit the right to purchase or resell any BZRK® branded products now or in the future, including through any affiliated entity or third party.

6. Monitoring and Audit Rights
   BZRK LLC reserves the right to monitor and audit Buyer’s sales activity to ensure compliance with this policy.

Legal Jurisdiction and Remedies

This policy shall be governed by and interpreted under the laws of the State of Missouri.
Buyer agrees that any disputes will be resolved exclusively in the courts of Missouri, and that BZRK LLC shall be entitled to injunctive relief, in addition to any other legal or equitable remedies available.

Acknowledgment

By agreeing to the Terms and Conditions of sale, Buyer acknowledges and accepts the terms outlined in this Unauthorized Online Sales Policy.
